Ÿ 1.1. Kingdee Deeking Cloud Computing Co., Ltd. and its subsidiary Shenzhen Kingdee Kingdee Network Technology Co., Ltd., (hereinafter collectively referred to as “Kingdee ”) agree to provide online financial services such as cloud accounting, cloud purchase, sale and inventory, cloud finance and trade Kingdee Cloud Stellar, etc. based on the Internet and mobile networks in accordance with the provisions of this agreement and the operating rules issued from time to time (hereinafter referred to as “Services”). To obtain the Services, the service user (hereinafter referred to as "User" or "You") should fully understand the content of this agreement, and based on independent thinking, agree to all the terms of this agreement and complete all the registration procedures as prompted on the page. By clicking the "Agree" button during the registration process, you fully accept the "Kingdee Terms of Service" (hereinafter referred to as "this Agreement") and all the rules and regulations publicly disclosed by Kingdee. You confirm that you are a natural person, legal entity, or other organization (hereinafter referred to as "Legal Entity") with full civil rights capacity and full civil conduct capacity. We do not provide services to children under the age of 14. If you register or otherwise use this service on behalf of a company or other legal entity, it is considered that you have obtained authorization from that company or legal entity to be bound by the terms of this agreement. If you do not have the aforementioned legal entity qualification, please immediately terminate the registration process and any operations on the Kingdee platform, and Kingdee have the right to cancel your account. If Kingdee suffer any losses as a result, they will seek compensation from you and/or your guardian.
Ÿ 1.2. After successful registration, Kingdee will activate the account you provided during the application and registration process, based on the objective needs of the service. You have the right to use the service on the basis that Kingdee have activated and agreed to provide you with the service. You are responsible for safeguarding your account and password, which should consist of a combination of letters, numbers, and special characters (preferably more than 8 characters in length) and should be changed periodically. During the use of the Service, you are fully responsible for all actions performed under your account, any information published or made public through your account via the service, and any consequences arising from such actions.
Ÿ 1.3. In the process of registering for an account or using the Service, you will be required to provide some necessary information, such as: your mobile phone number or other identity information for account registration or identity verification. The mobile phone contacts matching function requires your authorization to access your phone contacts. If you accept business-related follow-up calls from Kingdee, you may need to provide a contact phone number, job title, company name, etc. If national laws and regulations or policies have special provisions, you need to provide true identity information. If the information you provide is incomplete, you will not be able to use the corresponding services or will be limited in the use of the services. For more information, you can refer to the Kingdee Privacy Policy.
Ÿ 1.4. To improve your service experience and satisfaction, you agree that Kingdee may conduct research and analysis on your behavioral data based on your operational behavior to further optimize products and services. Additionally, we will use technical means to anonymize the information, ensuring that the anonymized information cannot identify you as an individual. Please understand and agree that, in this case, we have the right to use the anonymized information. Without disclosing your personal information, we will use the collected business information for technical upgrades, network maintenance, troubleshooting, internal policy and process development, generating internal reports, and establishing databases for analysis with anonymized and non-recoverable data. This will help us improve existing products or services and develop new features to provide you with better services.
Ÿ 1.5. After you finish using the service, if you need to temporarily or permanently leave the service, your data will be automatically archived. After the free archival storage period agreed upon between you and Kingdee ends, the data will be automatically deleted.
Ÿ 2.1 CONTRACTING ENTITY; GOVERNING LAW
The country specified in your registration information determines: (i) the Kingdee entity with which you are contracting under these Terms; and (ii) the governing law that applies to these Terms and your use of the Services, as set forth in the table below. Notwithstanding anything to the contrary under these Terms, you acknowledge and agree that Services may be provided by one of our Affiliates to the extent deemed appropriate by us, for example, where required to comply with applicable laws and regulations or in accordance with Kingdee's internal structuring of its operations in the applicable region.

Ÿ 2.2. The specific content of the Kingdee services mentioned in this agreement is provided by Kingdee based on actual conditions. This includes, but is not limited to, authorizing you to use cloud accounting functions, cloud inventory management functions, cloud reimbursement, cloud trade and finance functions, Kingdee Cloud Stellar, etc., through your account. Kingdee Companies have the right to upgrade or make other adjustments to the services or product forms they provide and will inform you in a timely manner.
Ÿ 2.3. You understand that Kingdee only provide technical services related to the service. Any other device related to the network service (such as personal computers, mobile phones, and other devices necessary for accessing the internet or mobile networks) and the required fees (such as telephone fees and internet fees for accessing the internet, and mobile phone fees for using mobile networks) are your own responsibility.
Ÿ 2.4. You understand that Kingdee may provide you with smart Q&A and smart customer service-related functions. You need to provide us with your query content, and we will search and match answers through the AI semantic search engine to accurately answer your questions. For decision-related matters, the answers are for reference only, and we do not assume any legal responsibility.
Ÿ 3.1. Considering the particularity of network services (including but not limited to server stability issues, malicious network attacks, and other situations beyond the control of Kingdee), you agree that Kingdee may interrupt or terminate part or all of the services at any time. In the event of such interruption or termination of services, Kingdee will endeavor to notify you as soon as possible through website announcements, system notifications, messages, SMS, or other reasonable means.
Ÿ 3.2. You understand that Kingdee need to periodically or occasionally inspect or maintain the platform (such as internet infrastructure equipment) or related equipment used to provide services. If such situations cause service interruptions within a reasonable time, Kingdee are not liable for this, but they should notify you in advance as much as possible.
Ÿ 3.3. In any of the following circumstances, Kingdee have the right to interrupt or terminate the services under this agreement at any time without bearing any responsibility to you or any third party:
3.3.1 The personal information you provided is not true;
3.3.2. You violate the laws, regulations, national policies, or the usage rules specified in this agreement;
3.3.3. You fail to pay for the paid services as required.
Ÿ 3.4. If you do not actually use the service within 180 consecutive days after applying for it, Kingdee have the right to take any of the following actions, and you will bear all legal responsibilities arising from this:
3.4.1. Reclaim the nickname;
3.4.2. Stop providing services.
Ÿ 3.5. If you choose to bind your account to a third-party account such as WeChat or Weibo, in addition to your own unbinding, the third-party account to which you have been bound may be unbound if any of the following occurs while Kingdee is not liable to you or to any third party:
3.5.1. Violating laws, regulations, national policies, or this agreement;
3.5.2. Violating the third-party account agreement or its related regulations;
3.5.3. Other circumstances requiring unbinding.
Ÿ 3.6. You understand and agree that Kingdee have the right to require you to complete real-name authentication for your Kingdee account at any time, upload business licenses and related information (including company name, number of employees, industry, office phone number, email address, contact person, contact address, business registration license, unified social credit code, etc.). At the same time, Kingdee may require you to provide more identity information and documents for the activation of certain products or services, and further identity verification or qualification validation may be necessary. Your account will only be eligible to use the relevant products or services after completing these certifications and validations.
Ÿ 3.7. You understand and agree that as market demand continues to evolve and technology continues to change, the functions of previous versions of the product will gradually be unable to meet the ever-increasing business needs of users and will face more and more challenges. Kingdee have established a unified product lifecycle termination policy to help you better manage and update the versions of the products you use, continuing to provide you with better products and services. You can learn about the product lifecycle termination policy on the official website, reasonably plan product usage and service renewal, and obtain maximum product support based on strategic guidance. The lifecycle termination policy applies to all forms and versions of Kingdee software products, and historical products whose lifecycle has already ended are subject to historical product management policies.
Ÿ You shall comply with all applicable laws, rules, regulations and ordinances relating to your use of the Services, as well as your bidding, purchasing and selling of any items and the provision of trade information. During the registration process, you will select a member registration user ID and password. You are solely responsible for maintaining the confidentiality of your User ID and password and are responsible for all activities that occur under your User ID and password. You agree to: (a) Immediately notify us if you become aware of any unauthorized use of your user ID or password, or any other breach of confidentiality; and (b) Ensure that you properly log out from the website at the end of each online session. Kingdee cannot and will not be liable for any loss or damage arising from your failure to comply with this provision.
Ÿ 4.1. When registering a Kingdee account, and when creating, publishing, or disseminating content, you must use your real identity information and must not register with false, impersonated, or stolen identity information, such as resident identity information, corporate registration information, or organization code information. In some cases, your account may be assigned to you by an administrator (e.g., your employer). Additionally, your administrator may access or disable your account without our involvement. You must not share your account with anyone else. Please safeguard your password and avoid using the same password on other websites. If you believe your account may have been compromised, notify your system administrator or change your password immediately.
Ÿ 4.2. If you violate the provisions of Article 4.1 above, Kingdee have the right to suspend or terminate your use of the Services at any time, without bearing any responsibility, in accordance with relevant laws, regulations, and national policy requirements.
Ÿ 4.3. While using the Services, Kingdee may, based on operational security, public safety needs, or national policy requirements, request that you provide accurate personal information. If there are any changes to your personal information that make it inconsistent with the information you submitted to Kingdee, you should promptly update it.
Ÿ 4.4. You should not transfer or lend your account or password to others. If you discover that your account or the Services have been illegally used by others, you should immediately notify Kingdee for coordination. Kingdee does not assume any responsibility for illegal or unauthorized use of your account and password because it is not possible to screen for such use.
Ÿ 4.5. You agree that Kingdee may place various commercial advertisements or any other type of commercial information in various ways in the course of providing the Services, and you agree to accept Kingdee to send you product promotions or other related commercial information by e-mail or other means. If you do not wish to receive commercial advertisements from us, you can unsubscribe by responding to the SMS or email prompt or by using other methods we provide.
Ÿ 4.6. To the extent permitted by law, you agree that Kingdee have a worldwide, free, perpetual, irrevocable, non-exclusive, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any content you publicly post through the Services (in whole or in part), and to incorporate such content into any other works, media, or technology currently known or later developed, as well as the right to gather evidence and initiate lawsuits against third-party infringers in its own name, unless otherwise agreed with Kingdee.
Ÿ 4.7. You must not create, copy, upload, publish, or disseminate any of the following content through the website while using the Services:
4.7.1. Content that spreads rumors, disrupts social order, or undermines social stability;
4.7.2. Content that disseminates obscenity, pornography, gambling, violence, terrorism, or incites criminal activity;
4.7.3. Content that insults or defames others or infringes on their legal rights;
4.7.4. Content that infringes on the legal rights of others, including reputation rights, portrait rights, intellectual property rights, trade secrets, and other rights;
4.7.5. Content involving others' privacy, personal information, or data;
4.7.6. Content that publishes, transmits, or spreads harassing, advertising, excessive marketing, or spam information, or contains any sexual or suggestive content;
4.7.7. Content that interferes with the normal operation of Kingdee and infringes on the legal rights of other users or third parties;
4.7.8. Content that violates applicable laws, regulations, or any legally binding norms.
Ÿ 4.8. Any statements, notifications, or warnings made by Kingdee regarding specific services through various methods (including but not limited to website announcements, system notifications, private messages, SMS reminders, etc.) are considered part of this agreement. By using such services, you agree to the content of these statements, notifications, and warnings.
Ÿ 4.9. You promise that all actions taken during your use of the website's services comply with national laws, regulations, relevant website regulations, and various social public interests or public morals. For any legal consequence, you will be responsible for all the corresponding legal responsibility independently in your own name, and Kingdee will not be liable for any responsibility.
Ÿ 4.10. You should notify Kingdee in a timely manner if you discover any information security vulnerabilities in the service system or other related systems when using the service, and prohibit vulnerability scanning and penetration testing of Kingdee's service system, which may result in losses to Kingdee.
Ÿ 4.11. Unless permitted by law or with the written permission of Kingdee, you must not engage in the following actions during your use of the products or services:
4.11.1. Delete the copyright information on the product and its copies;
4.11.2. Reverse engineering, reverse assembly, reverse compilation, or otherwise attempting to discover the source code of this product;
4.11.3. Use, rent, lend, copy, modify, link, reprint, compile, publish, publish, establish mirror sites, etc. for the content of Kingdee's intellectual property rights;
4.11.4. Copy, modify, add to, delete, link to, or create any derivative works of the data released to any terminal memory during the operation of this product or this product, the interactive data between the client and the server during the operation of this product, and the system data necessary for the operation of this product, including but not limited to the use of plug-ins, add-ons, or third-party tools/services not authorized by Kingdee to access this product and related systems;
4.11.5. Modifying or falsifying instructions or data in the operation of a product, adding, deleting or changing the functions or operating effects of a product, or operating or disseminating to the public products or methods for the above purposes, regardless of whether these actions are for commercial purposes;
4.11.6. Interfere with this product, its components, modules, and data by yourself or by authorizing others or third-party products;
4.11.7. Any other actions not explicitly authorized by Kingdee.
Ÿ 4.12. Unless permitted by law or with the written permission of Kingdee, you must not engage in the following actions during your use of the products or services:
4.12.1. Submit or publish false information, or impersonate or use the name of another person;
4.12.2. Induce others to click on link pages or share information;
4.12.3. Fabricate facts, conceal the truth to mislead and deceive others;
4.12.4. Infringing on others' rights to reputation, portrait, intellectual property, trade secrets, or other legal rights;
4.12.5. Other actions that violate laws and regulations, infringe on the legal rights of others, interfere with the normal operation of the product, or are not explicitly authorized by Kingdee.
Ÿ 4.13. User Security Responsibilities
4.13.1. Network and Connection Security
Unless otherwise agreed in writing by the parties, you shall (a) ensure that your network and systems comply with the relevant specifications (if any) provided by us from time to time; (b) be solely responsible for procuring and maintaining the network connection and telecommunications connection from your system to our or any third party data center; and (c) bear all risks, conditions, delays, delivery failures, security risks and all other losses, damages, liabilities, costs or expenses of any nature or kind arising from or in connection with your network connection, telecommunications connection or the internet.
4.13.2. Content Security in Secondary Development
Unless otherwise agreed in writing by both parties, you shall be responsible for any security vulnerabilities and the consequences of such vulnerabilities arising from or in connection with your secondary development or the secondary development of a third-party team engaged by you, including but not limited to any viruses, Trojan, worms or other harmful programming routines contained in your content.
4.13.3. Security Policy Configuration
Kingdee products support the configuration of various security policies to prevent information security risks, such as complex passwords, permission configurations, and other important parameter configurations. We recommend that you configure the software product according to our security policy function. If you refuse to configure the security policy, the security risks and consequences caused by this shall be borne by you.
4.13.4. Product Update Maintenance
Given the continuous upgrading of security protection technology, we will periodically update and maintain the products and release updated security versions. Unless otherwise agreed in writing by both parties, if you independently deploy Kingdee products on your server, you should pay attention to the updates on the official websites of Kingdee and Kingdee (Kingdee.com, vip.Kingdee.com, jdy.com) in a timely manner and update the product version to the latest version in a timely manner. Otherwise, you shall bear the security vulnerabilities and consequences arising therefrom.
Ÿ 5.1. Any text, images, graphics, audio, and/or video information included in the network services provided by Kingdee are protected by copyright, trademark, and/or other proprietary rights laws. Without the consent of the relevant rights holders, these information may not be directly or indirectly published, broadcast, rewritten, or redistributed for publication or broadcast purposes, or used for any other commercial purposes in any media. All of this information or any part of it may only be stored on a computer for private and non-commercial use. Kingdee shall not be liable to you or any third party in any way for any delay, inaccuracy, error or omission in, or any damage arising from or resulting from, the above information or in the transmission or delivery of all or part of the above information.
Ÿ 5.2. The names "Kingdee Companies," "Kingdee," "Kingdee Cloud Stellar," and their associated logos or graphics involved in the services are trademarks of Kingdee. Without prior written consent from Kingdee you may not use or display these trademarks. If unauthorized use is detected, Kingdee will pursue legal action.
Ÿ 5.3. All rights to any software used by Kingdee to provide the services, or developed by third parties for the services that run on the platform and are available for your use (including, but not limited to, any images, photographs, animations, videos, recordings, music, text, and additional programs contained in the software, as well as accompanying help information), belong to the copyright holders of the software. Without the permission of the software's copyright holders, you are not permitted to reverse engineer, decompile, or disassemble the software.
Ÿ 6.1. YOU MUST COMPLY WITH NATIONAL LAWS, REGULATIONS, AND POLICY PROVISIONS WHILE USING THE SERVICES, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY CONSEQUENCES ARISING FROM YOUR USE OF THE SERVICES.
Ÿ 6.2. ANY INFORMATION PUBLISHED THROUGH THE SERVICES, AS WELL AS ANY OPINIONS CONVEYED THROUGH THE SERVICES, DO NOT REPRESENT THE VIEWS OF KINGDEE. KINGDEE DOES NOT GUARANTEE THE COMPLETENESS, TRUTHFULNESS, ACCURACY, OR RELIABILITY OF SUCH INFORMATION. YOU SHOULD INDEPENDENTLY EVALUATE ANY ILLEGAL, UNETHICAL, INCORRECT, OR OTHERWISE INAPPROPRIATE INFORMATION YOU MAY ENCOUNTER, AS WELL AS ANY MISCLASSIFIED OR MISLEADING CONTENT. IN ANY EVENT, ANY INFORMATION, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS THEREIN, OR ANY LOSS OR INJURY RESULTING FROM THE USE OF INFORMATION PUBLISHED, TRANSMITTED PRIVATELY, COMMUNICATED, OR OTHERWISE DISSEMINATED THROUGH THE SERVICES OR ELSEWHERE, SHALL BE THE SOLE RESPONSIBILITY OF THE PARTY RESPONSIBLE FOR THE ACTION.
Ÿ 6.3. GIVEN THAT THE CONTENT OF WEB PAGES LINKED THROUGH EXTERNAL LINKS IS NOT UNDER THE ACTUAL CONTROL OF KINGDEE, KINGDEE CANNOT GUARANTEE THE ACCURACY AND COMPLETENESS OF SUCH EXTERNAL LINKS, WHICH ARE PROVIDED FOR YOUR CONVENIENCE.
Ÿ 6.4. YOU FULLY UNDERSTAND AND AGREE THAT THIS SERVICE INVOLVES THE INTERNET AND OTHER RELATED SERVICES, WHICH MAY BE SUBJECT TO FORCE MAJEURE (INCLUDING BUT NOT LIMITED TO WAR, TYPHOONS, FLOODS, FIRES, EARTHQUAKES, STRIKES, RIOTS, ETC.), COMPUTER VIRUSES OR HACKER ATTACKS, INTERNET SERVICE INTERRUPTIONS, OR THE RISK OF NOT BEING ABLE TO MEET YOUR REQUIREMENTS. YOU WHO USE THIS SERVICE MUST BEAR THE ABOVE RISKS, AND KINGDEE DOES NOT ASSUME ANY RESPONSIBILITY.
Ÿ 6.5. IF A SYSTEM FAILURE AFFECTS THE NORMAL OPERATION OF THIS SERVICE, KINGDEE COMMITS TO TIMELY PROCESSING AND REPAIR. HOWEVER, KINGDEE WILL NOT BEAR ANY RESPONSIBILITY FOR ANY ECONOMIC OR PSYCHOLOGICAL LOSS YOU MAY INCUR AS A RESULT. FURTHERMORE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, KINGDEE RESERVES THE RIGHT TO SUSPEND THIS SERVICE FOR MAINTENANCE, UPGRADES, OR OTHER PURPOSES WITHOUT PRIOR NOTICE, AND WILL NOT BE LIABLE FOR ANY LOSSES ARISING FROM SUCH SUSPENSIONS.
Ÿ 6.6. YOU ARE RESPONSIBLE FOR ANY THREATS, DEFAMATION, OR OTHER ILLEGAL ACTIONS YOU ENCOUNTER DURING USE, AND KINGDEE DOES NOT MAKE ANY GUARANTEES OF ANY KIND FOR THIS SERVICE. KINGDEE IS NOT RESPONSIBLE FOR ANY DIRECT OR INDIRECT LOSSES YOU MAY INCUR AS A RESULT.
Ÿ 6.7. AFTER YOU REGISTER AN ACCOUNT, IF YOU VIOLATE THE LAW OR THE TERMS OF THIS AGREEMENT, KINGDEE HAS THE RIGHT TO RECLAIM THE ACCOUNT, AND ANY RESULTING ISSUES WILL BE SOLELY YOUR RESPONSIBILITY.
Ÿ 6.8. KINGDEE RESERVES THE RIGHT TO SUSPEND OR TERMINATE SERVICES AT ANY TIME UNDER THE FOLLOWING CIRCUMSTANCES:
6.8.1. The personal information provided is untrue or infringes upon the intellectual property rights or other rights of third parties;
6.8.2. Violation of the provisions of these service terms;
6.8.3. As required by government authorities and/or judicial bodies;
6.8.4. The account has been inactive for a prolonged period (180 consecutive days or more) after registration;
6.8.5. Maliciously registering enterprise names, where Kingdee has received third-party complaints with corresponding evidence;
6.8.6. Other special circumstances deemed necessary by Kingdee in accordance with the overall service requirements.
Ÿ 6.9. You acknowledge and agree that Kingdee may collaborate with third parties to provide you with products, and such third parties will be responsible for the subsequent work, including upgrades, maintenance, and customer service for those products. These third parties shall bear responsibility for any disputes or losses arising from product quality issues or other reasons related to the products they provide. You agree to assert any and all related rights and claims against such third parties.
Ÿ 6.10. If the product or service provided on the Kingdee Platform does not indicate a term of use, or if the term of use is indicated as “permanent,” “indefinite,” or “unlimited,” the term of use is from the date you obtain the product or service to the date the product or service is taken offline on the Kingdee Platform.
Ÿ 6.11. In the course of your use of Kingdee services, if algorithms, models, data access, or uploads are involved (whether you access or upload them yourself or authorize Kingdee to access or upload them), you promise and guarantee to comply with the following requirements:
6.11.1. The algorithms, models, and data sources used to access and upload Kingdee are legal and do not infringe on the legitimate rights and interests of others (including but not limited to user privacy rights, etc.). If necessary, you should obtain the relevant licenses or approvals and comply with the requirements of laws and regulations issued from time to time. To further ensure compliance with this provision, Kingdee may require you to provide relevant proof, agreements, or qualifications. You understand and acknowledge that Kingdee's review of such documentation is only a formal check; even if Kingdee reviews the documentation, it does not imply that Kingdee is obligated or able to verify the legality of your use or disclosure of algorithms, models, or data. You must independently ensure and comply with the commitments and guarantees outlined in this clause.
6.11.2. The algorithms, models, and data you access or upload to Kingdee must be secure, stable, and effective. They must not contain any other software programs, viruses, worms, Trojans, or any other harmful computer codes, files, scripts, or programs. Additionally, they must not include any characteristics of malicious software as defined by the any Internet Association. They must not cause any damage to the systems of Kingdee and/or its affiliated companies, nor should they harm the data of Kingdee and/or its affiliated companies or any third parties.
6.11.3. It is forbidden to attack or steal data from any third party in the Kingdee through any improper means; algorithms, models, and data shall not be disclosed or authorized for use by a third party without the consent of the rights holder;
6.11.4. If the judicial or administrative authorities or a third party right holder provides reasonable grounds for suspicion of infringement of the algorithms, models, data, etc. you have accessed or uploaded, and notifies Kingdee to delete some or all of the algorithms, models, data, etc. you have accessed or uploaded to Kingdee, Kingdee has the right to delete them in accordance with the requirements of the judicial or administrative authorities or the third party right holder, and is not liable for any breach of contract.
Ÿ 7.1. If Kingdee violates any laws, regulations or terms of this agreement and causes you to suffer losses, Kingdee agrees to bear the liability for the resulting damages, and the amount of compensation is limited to the fees you have paid for the corresponding service. To the fullest extent permitted by applicable law, Kingdee shall not be liable for any indirect damages (including but not limited to business interruption, loss of profits, loss of business information, increased costs, etc.) arising from your use of or inability to use the Services; Kingdee shall not be liable for any loss arising from the unavailability or malfunction of the Services due to reasons attributable to third parties such as mobile communication service providers and Internet access service providers.
Ÿ 7.2. You agree to protect and defend Kingdee and other parties' interests. If you violate any laws, regulations, or any terms of this agreement, causing losses to Kingdee or any other third party, you agree to bear the resulting liability for damages and indemnify Kingdee for any losses.
Ÿ 8.1. Kingdee reserves the right to modify any terms of this Agreement from time to time. If any changes are made to the content of this Agreement, Kingdee will publish the revised Agreement on the website. If you do not agree with the changes, you may choose to stop using the services. Kingdee may also notify you of the changes through other appropriate means (e.g., system notifications).
Ÿ 8.2. If you do not agree with the changes made by Kingdee to the terms of this Agreement, you have the right to stop using the Services. If you continue to use the Services, you will be deemed to have accepted the changes made by Kingdee to the terms of this Agreement.
Ÿ 9.1. All notices from Kingdee to you under this Agreement may be made via web page announcements, e-mail, system notifications, private messages, SMS, or regular mail; such notices shall be deemed to have been delivered to the recipient on the date of transmission.
Ÿ 9.2. Your notices to Kingdee shall be delivered to the contact information officially announced by Kingdee, such as mailing address, fax number, and email address.

Ÿ 10.1. Except as provided in the PRC Service Region Terms or other region-specific or Service-specific terms, any claims for equitable relief may be brought in any court of competent jurisdiction even if the parties have chosen an exclusive venue below. Unless the PRC Service Region Terms or other region-specific or Service-specific terms specify otherwise, all claims arising out of or relating to these Terms or the Services, will be resolved by arbitration administered by the Singapore International Arbitration Centre in accordance with the Arbitration Rules of the Singapore International Arbitration Centre in force when the notice of arbitration is submitted. The seat of the arbitration will be Singapore and the language will be English. All proceedings will be confidential and there will be one arbitrator only.
Ÿ 10.2. Any dispute or controversy arising from this agreement between you and Kingdee shall first be resolved through friendly consultation. If the consultation fails, you hereby fully agree to submit the dispute or controversy to the people's court with jurisdiction for resolution through litigation.
Ÿ 11.1. This Agreement constitutes the complete agreement between both parties regarding the matters agreed upon in this Agreement and other related matters. Except as provided in this Agreement, no other rights are granted to the parties.
Ÿ 11.2. If any clause of this Agreement is found to be completely or partially invalid or unenforceable for any reason, the remaining clauses of this Agreement shall remain valid and binding.
Ÿ 11.3. The headings in this Agreement are provided for convenience only and should be disregarded in the interpretation of this Agreement.
